Introduction

These Terms and Conditions (“Terms”) govern your access to and use of the Reviport website and web application (collectively, the “Service”) available at reviport.com and reviport.com/app, and any related pages, mobile applications, APIs, features, and content that we make available from time to time. By accessing or using the Service, you agree to be bound by these Terms.

The Service is operated under the name “Reviport”. Details about the service provider (including legal name, address, and official notices information) are available in the Legal Notice on reviport.com (the “Legal Notice”). References to “Reviport”, “we”, “us” or “our” in these Terms refer to the Service operator identified in the Legal Notice. The Legal Notice is referenced only for identification/contact details.

Your use of the Service is also governed by our Privacy Policy (and any other policies referenced in these Terms), which are available on reviport.com. Those policies are incorporated by reference into these Terms.

1. Definitions

In these Terms:

  • “Account” means the user account you create to access the Service.
  • “Content” means any text, data, software, designs, graphics, or other materials made available through the Service (excluding User Content).
  • “Subscription” means a paid recurring plan that provides access to the Service.
  • “Trial” means any free trial access we offer to the Service.
  • “User Content” means information, data, or materials you submit, upload, store, or input into the Service (including portfolio information).
  • “You” or “User” means the individual accessing or using the Service.
  • “Legal Notice” means the Reviport legal notice / imprint made available on the Service (currently at /legal-notice), which identifies the operator of the Service and provides official contact details.
  • “Service Provider” means the person or entity identified in the Legal Notice that operates the Service under the name “Reviport”.
  • “Inactive Account” means an Account that (a) does not have an active Subscription and (b) has not been accessed by a successful login for at least twelve (12) consecutive months.

2. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent that you meet this requirement and that you have the legal capacity to enter into these Terms.

You must comply with applicable laws when using the Service, including sanctions and export-control laws. You must not use the Service if your use would cause Reviport to breach applicable sanctions or export-control laws.

3. Accounts, single-user use, and security

The Service is offered for individual use by consumers. Each Account is intended for one natural person only. You must provide accurate information when creating an Account.

The Service is intended for personal, non-commercial use only. Business or professional use is not permitted unless expressly authorized by Reviport.

You may access your Account from multiple personal devices, but you must not share, sell, transfer, or sublicense your Account or login credentials to any other person.

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your Account. If you believe your Account has been compromised, you must notify us promptly at support@reviport.com.

Third-party information and permissions: You may input or track information relating to third parties only if you have the necessary rights, permissions, and authorizations to do so. You are responsible for ensuring that your use of the Service with such information complies with applicable law and does not infringe any third-party rights.

4. Free trial

We offer a free Trial that provides limited-time access to the Service for 7 days. No payment details are required to start a Trial.

A Trial does not automatically convert into a paid Subscription. At the end of the Trial period, access to the Service ends unless you start a paid Subscription.

We may change, suspend, or withdraw Trials (including eligibility rules) at any time, subject to applicable law.

5. Subscriptions, billing, and payments

Subscriptions are billed monthly and renewed automatically each month until cancelled. We may introduce additional plans, billing periods, or features in the future.

Payments for Subscriptions are processed by our payment provider, Paddle, which acts as merchant of record (or through its affiliates, depending on your location). Your purchase may therefore be subject to Paddle’s terms, checkout flows, and local taxes.

Currency and taxes: Paddle may display prices in your local currency and calculate or collect applicable taxes based on your location.

Managing your Subscription: You can manage or cancel your Subscription through the Paddle-hosted customer portal accessible via the /plan link on our website and within the app.

Cancellation: If you cancel, your Subscription will remain active until the end of the current billing period unless Paddle’s portal states otherwise.

Refund: If a refund is issued, we may suspend or restrict access to the Service.

Failed payments: If payment fails, we may suspend or restrict access until payment is successfully processed.

Price changes: We may change pricing or plan features. If you have an active Subscription, we will provide reasonable notice (for example, by email or in-app notice) before changes take effect, as required by applicable law.

6. Promotions and complimentary access

From time to time, we may offer discounts, promotional pricing, Trials, or complimentary access (for example, by invitation, coupon, or other eligibility criteria). Any promotional terms will be communicated at the time of the offer.

Promotions and complimentary access may be modified, suspended, or withdrawn at any time (including changing their duration), unless applicable law requires otherwise. This section does not affect your rights under a paid Subscription during its active term.

7. Refunds and voluntary 14-day guarantee

In addition to any rights you may have under applicable law, Reviport offers a voluntary refund policy as follows:

First purchase refund: If you make your first paid purchase of a Subscription, you may request a full refund within 14 days of the start of that first paid billing period.

How to request: Contact us at support@reviport.com from your account email with your request, or use any refund method provided through Paddle (if available).

Abuse prevention: We may refuse refund requests that indicate abuse (for example, repeated refund requests across multiple accounts) to the extent permitted by law.

Except as set out above or required by law, payments are non-refundable and we do not provide prorated refunds for partial billing periods.

Immediate access and statutory withdrawal: By starting a paid Subscription, you expressly request immediate performance of the Service and acknowledge that you may lose your statutory right of withdrawal once the Service has been fully performed. This does not affect the voluntary 14-day refund guarantee described above.

8. Nature of the Service; no investment advice

Reviport provides tools to help you track, organize, and visualize portfolio information and market-related data. The Service is provided for informational purposes only and does not provide investment, legal, tax, or other professional advice.

Reviport is not a broker/dealer, does not execute trades, and does not hold client assets. Reviport is not a registered investment, legal, or tax adviser. Any content on the Reviport blog (https://reviport.com/blog/) and any news or information features are for general informational and educational purposes only and are not financial advice.

No recommendations: Reviport does not recommend, endorse, or solicit the purchase or sale of any securities, digital assets, or other instruments.

Tools and outputs: We may provide calculations, summaries, alerts, or rebalancing-related prompts based on information you provide (for example, a target allocation you set). These outputs are not advice and may not be suitable for your circumstances.

Data accuracy and timeliness: Market data may be provided by third-party sources and may be delayed (including end-of-day), incomplete, or inaccurate. Reviport does not guarantee the accuracy, timeliness, or completeness of any data.

Your responsibility: You are solely responsible for your decisions and for verifying information before acting on it.

You acknowledge that any reliance on the Service is at your own risk. Financial markets involve risk of loss, and Reviport shall not be responsible for any investment decisions, losses, or damages resulting from your use of the Service.

9. Acceptable use

You agree not to:

  • Use the Service in a way that violates any applicable law or regulation (including sanctions and export-control laws).
  • Use the Service if you are located in, ordinarily resident in, or a national of a sanctioned country/territory, or if you are subject to applicable sanctions, or if your use would cause Reviport to violate sanctions laws.
  • Interfere with, disrupt, or attempt to gain unauthorized access to the Service, systems, or networks.
  • Scrape, harvest, or extract data from the Service using automated means (including bots, crawlers, or scripts) without our prior written permission.
  • Access or attempt to access any Reviport backend APIs except through the user interfaces and methods we make available, unless we expressly authorize API access in writing.
  • Reverse engineer, decompile, or attempt to discover source code except to the extent permitted by mandatory law.
  • Upload or transmit malware, or misuse the Service to harm Reviport or others.
  • Attempt to bypass operational safeguards or limits (including usage, import, validation, rate, or calculation controls).

10. User Content/Inputs and accuracy

You retain your rights in your User Content. You grant Reviport a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, and display your User Content solely to provide, maintain, secure, and support the Service, and to enforce these Terms.

We may also use aggregated and de-identified information derived from use of the Service to operate, improve, and develop the Service, provided that such use does not identify you personally.

You represent and warrant that you have all necessary rights to submit your User Content and that your User Content and its use in the Service will not violate any law or infringe any third-party rights.

Users are responsible for the accuracy, completeness, and legality of uploaded or manually entered transaction/ticker data. Reviport may provide validation and mapping tools but does not guarantee that imported data is complete or error-free. Users should retain independent records of critical financial data.

11. Intellectual property

The Service, Content (excluding User Content), and all intellectual property rights in them are owned by or licensed to Reviport. Reviport grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use, subject to these Terms.

Reviport and related names, logos, and marks are trademarks of Reviport (or its licensors). You may not use them without our prior written permission.

Third-party trademarks and logo assets. The Service may display third-party names, ticker symbols, company names, fund names, cryptocurrency names, logos, icons, trademarks, and other brand identifiers to help identify securities, issuers, funds, crypto assets, brokers, exchanges, data providers, or other third parties. These third-party identifiers are provided for identification and informational purposes only.

All third-party names, trademarks, logos, icons, and brand assets remain the property of their respective owners. Reviport does not claim ownership of them. Unless expressly stated, the display of any third-party name, ticker symbol, logo, icon, trademark, or brand asset does not imply any affiliation, sponsorship, endorsement, approval, partnership, verification, recommendation, or responsibility by the relevant rights holder.

Reviport may modify, remove, replace, or disable third-party identifiers at any time, including where required by a rights holder, data provider, service provider, platform policy, law, or operational requirement.

If you provide feedback, suggestions, or ideas regarding the Service, you grant Reviport a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate such feedback without restriction or compensation to you.

12. Availability, changes, fair use limits, and suspension

We aim to keep the Service available, but we do not guarantee uninterrupted availability. We may modify, suspend, or discontinue the Service (in whole or in part) at any time, including for maintenance, security, compliance, or business reasons. Reviport does not provide any service level agreement (SLA) or guaranteed uptime unless expressly stated in a separate written agreement.

Changes to the Service: Features, supported data sources, supported instruments, and user interfaces may change over time. We do not promise to maintain any particular feature, integration, or data source for any period.

Fair use limits: We may impose reasonable limits on certain features or usage (for example, to prevent abuse, manage capacity, or ensure fair access for all users). Limits may change over time and may vary by plan or by user.

Suspension: We may suspend or restrict access immediately and without prior notice where reasonably necessary if we reasonably believe you have violated these Terms, if required by law, or to protect the Service or other users. We may also restrict or block access to the Service (including by using technical controls such as IP-based location signals) where we reasonably believe it is necessary to comply with applicable sanctions or export-control laws or to enforce these Terms.

Beta features: We may offer beta, preview, or experimental features from time to time. Such features are provided “as is” without warranties of any kind and may be modified or discontinued at any time.

13. Termination, data retention, and account deletion

You are responsible for maintaining your own copies of any important User Content. The Service is not intended to be your sole system of record.

You may stop using the Service at any time. You may cancel your Subscription through the Paddle customer portal.

When your Subscription ends (including after cancellation), your right to access the Service will end at the end of the applicable billing period.

We may retain your User Content and Account data for as long as reasonably necessary for the purposes described in the Privacy Policy and as required or permitted by law (for example, to comply with legal obligations, resolve disputes, or enforce agreements).

Inactive accounts and deletion: If you do not have an active Subscription and you have not logged in to your Account for at least twelve (12) months, we may delete your Account and User Content after such period, provided that we give you reasonable prior notice and an opportunity to access or export your data. We will provide reasonable prior notice by email before deletion.

Account deletion requests: If you want your Account deleted, you can request it by emailing support@reviport.com from your account email.

To the maximum extent permitted by law, Reviport shall not be liable for any loss of User Content resulting from account inactivity, deletion, or termination of the Service.

Where available, you are responsible for exporting your data before termination of your Account or Subscription.

14. Security, emergency operations, backups

Security and emergency operations: We may apply emergency changes, temporary restrictions, or account-level controls to contain active threats, investigate suspicious activity, or protect platform integrity.

Backups and restoration: We perform automated daily encrypted off-site backups for continuity. However, restoration point/time and completeness are not guaranteed in all scenarios. Users should maintain their own copies of critical materials where appropriate.

Reviport does not guarantee that User Content will not be lost, corrupted, or inaccessible, and shall not be liable for any such loss.

15. Third-party services and links

The Service may integrate with or rely on third-party services (for example, payment processing by Paddle, analytics, communications providers, cookie consent tools, infrastructure providers, and market data providers). Third-party services are provided under their own terms and policies, and Reviport is not responsible for third-party services.

Reviport makes no warranties or representations regarding any third-party services, including their accuracy, reliability, availability, or suitability.

We may add, remove, or change third-party providers over time. Where relevant, information about certain third-party processing is described in our Privacy Policy.

Your use of third-party services is subject to their respective terms and policies, and you are responsible for reviewing and complying with them.

Integrations with third-party services may be modified, suspended, or discontinued at any time without notice.

Third-party data (including market data) may be delayed, incomplete, or inaccurate, and Reviport does not guarantee its accuracy or availability.

16. Privacy and cookies

Your use of the Service is also governed by our Privacy Policy, which describe how we collect and use personal data and cookies. Please review those policies on reviport.com.

17. Disclaimers

To the maximum extent permitted by law, the Service is provided “as is” and “as available”. Reviport disclaims all warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Nothing in these Terms limits warranties, consumer guarantees, or remedies that cannot be excluded under applicable law.

18. Limitation of liability

Nothing in these Terms excludes or limits our liability to you where doing so would be unlawful (including for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law).

To the maximum extent permitted by law, Reviport will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, goodwill, or business opportunities, arising out of or relating to the Service or these Terms.

To the maximum extent permitted by law, Reviport’s total liability for all claims arising out of or relating to the Service or these Terms will not exceed the greater of (a) the amounts you paid to Paddle for the Service during the twelve (12) months immediately preceding the event giving rise to the claim, or (b) EUR 100.

19. Indemnity

To the extent permitted by applicable law, you agree to indemnify and hold harmless Reviport from and against any third-party claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

(a) your misuse of the Service;
(b) your User Content;
(c) your violation of these Terms or applicable law; or
(d) your infringement of any third-party rights, including intellectual property or privacy rights.

20. Governing law and jurisdiction

These Terms are governed by the laws of the Republic of Cyprus, without regard to conflict of laws principles. Subject to the consumer rights paragraph below, the courts of the Republic of Cyprus will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service.

Consumer rights: If you are a consumer habitually resident in the European Union (or another jurisdiction that provides mandatory consumer protections), nothing in these Terms affects your mandatory rights. You may have the right to bring proceedings in the courts of your habitual residence and/or benefit from other mandatory protections.

Online dispute resolution (EU consumers): Where applicable, consumers in the European Union may have access to online dispute resolution mechanisms provided by the European Commission or other competent bodies. Availability and scope of such mechanisms may change over time.

21. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide notice by reasonable means (for example, by posting the updated Terms on reviport.com and updating the “Last updated” date, and/or by email or in-app notice). Your continued use of the Service after the effective date of an update means you accept the updated Terms.

23. Miscellaneous

  • Entire agreement: These Terms and the policies referenced in them form the entire agreement between you and Reviport regarding the Service.
  • Severability: If any provision is held invalid or unenforceable, the remaining provisions will remain in effect.
  • No partnership: Nothing in these Terms creates any partnership, joint venture, or agency relationship between you and Reviport.
  • Waiver: Failure to enforce a provision is not a waiver of the right to enforce it later.
  • Force majeure: Reviport is not responsible for delays or failures caused by events beyond reasonable control.
  • Language: These Terms are written in English. If translated, the English version controls to the extent permitted by law.
